1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Coachalyst, a fitness coaching and training platform operated by Coachalyst LLC ("we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through our platform. Your continued use of the service after changes become effective constitutes acceptance of the modified Terms.

2. Description of Service

Coachalyst is a Software-as-a-Service (SaaS) platform that provides:

  • For Coaches: Client management tools, workout and nutrition planning, progress tracking, communication features, and analytics
  • For Clients: Access to personalized workout plans, nutrition guidance, progress tracking, and coach communication
  • For Personal Users: Self-directed workout tracking, nutrition logging, habit tracking, and progress analytics

Our service is available via desktop applications (Windows, macOS), mobile applications (iOS, Android), and web browser access. Some features may require specific subscription tiers or platforms.

3. Account Registration and Security

3.1 Account Creation

To use Coachalyst, you must create an account by providing accurate and complete information. You must be at least 16 years old to create an account. If you are under 18, you must have parental or guardian consent.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breaches
  • Ensuring your account information remains accurate and up-to-date

We are not liable for any losses resulting from unauthorized use of your account.

3.3 Account Types

Different account types have different access levels and capabilities:

  • Personal Account: Individual users tracking their own fitness journey
  • Coach Account: Fitness professionals managing client programs
  • Client Account: Users working with coaches through our platform
  • Team/Company Account: Organizations with multiple coaches and shared resources

4. Subscriptions and Payments

4.1 Subscription Plans

Coachalyst offers various subscription tiers with different features and limits. Current plans include:

  • Free Tier: Basic features with limited clients (typically 3 clients for coaches)
  • Professional Tier: Enhanced features with increased client limits
  • Team Tier: Multi-coach organizations with advanced features
  • Scale Tier: Advanced features for growing teams

4.2 Billing and Renewal

Subscriptions are billed in advance on a monthly or annual basis, as selected during signup. All subscriptions automatically renew unless you cancel before the renewal date. You authorize us to charge your payment method on each renewal date.

We use third-party payment processors to handle payment information securely. We do not store complete credit card details on our servers.

4.3 Pricing Changes

We may modify subscription pricing with at least 30 days' notice. Price changes will not affect your current billing cycle but will apply upon renewal. If you do not accept the new pricing, you may cancel your subscription before the renewal date.

4.4 Plan Changes

You may upgrade or downgrade your subscription at any time:

  • Upgrades: Take effect immediately with prorated charges for the remaining billing period
  • Downgrades: Take effect at the end of your current billing cycle

Downgrading may result in loss of access to certain features or data limits.

4.5 Refunds

We offer a 14-day money-back guarantee for first-time subscribers. Refund requests must be submitted within 14 days of your initial subscription purchase. Refunds are not available for renewals or additional services.

5. Creator Partnership Program

5.1 Program Eligibility

The Creator Partnership Program allows fitness content creators and influencers to earn revenue by referring new users to Coachalyst. Participation requires:

  • Application approval by Coachalyst
  • Active social media presence or fitness community
  • Agreement to Creator Partnership Terms (separate agreement)

5.2 Revenue Sharing

Approved creators receive:

  • Unique promotional codes for tracking referrals
  • 25% revenue share on active subscriptions from referred users
  • Monthly payout statements and analytics

Revenue share applies to subscription fees only, excluding taxes, fees, and chargebacks.

5.3 Creator Obligations

Creators must:

  • Accurately represent Coachalyst features and pricing
  • Comply with all applicable advertising and disclosure regulations
  • Not engage in fraudulent referral activities or self-referrals
  • Maintain professional conduct and brand alignment

We reserve the right to terminate creator partnerships for violations of these Terms or program policies.

6. User Content and Data

6.1 Your Content

You retain ownership of all content you create or upload to Coachalyst, including workout plans, notes, client data, and media files. By using our service, you grant us a limited license to store, process, and display your content as necessary to provide the service.

6.2 Content Responsibilities

You are solely responsible for:

  • The accuracy and legality of content you create or share
  • Obtaining necessary rights and permissions for content you upload
  • Ensuring content complies with applicable laws and regulations
  • Professional advice and guidance provided to clients

6.3 Prohibited Content

You may not upload or share content that:

  • Violates any law or regulation
  • Infringes on intellectual property rights of others
  • Contains malware, viruses, or harmful code
  • Is hateful, threatening, or promotes violence
  • Contains explicit sexual content or promotes illegal substances
  • Violates privacy rights of others

We reserve the right to remove prohibited content and suspend accounts that violate this policy.

6.4 Data Backup

While we maintain regular backups of our systems, you are responsible for maintaining your own backups of important content. We recommend regularly exporting your data using our export features.

7. Acceptable Use

You agree not to:

  • Use the service for any illegal purpose or in violation of any laws
  • Impersonate others or provide false information
  • Interfere with or disrupt the service or servers
  • Attempt to gain unauthorized access to any part of the service
  • Use automated tools to access or scrape the service without permission
  • Resell or commercially exploit the service without authorization
  • Harass, abuse, or harm other users
  • Share account credentials with unauthorized parties

8. Intellectual Property

8.1 Platform Rights

Coachalyst and its original content, features, and functionality are owned by Coachalyst LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

8.2 Trademarks

The Coachalyst name, logo, and related marks are trademarks of Coachalyst LLC. You may not use these marks without our prior written permission.

8.3 Third-Party Rights

Certain features may include third-party content or integrations. Such content remains the property of its respective owners and is subject to applicable third-party terms.

9. Professional Advice Disclaimer

Important Medical Disclaimer: Coachalyst is a platform for fitness coaching and training management. We do not provide medical advice, diagnosis, or treatment. The information and services provided through our platform are for informational and educational purposes only.

Users should:

  • Consult with qualified healthcare professionals before starting any fitness program
  • Obtain medical clearance for exercise, especially with pre-existing conditions
  • Not rely solely on information from the platform for medical decisions
  • Seek immediate medical attention for any health emergencies

Coaches using our platform are responsible for their own professional qualifications, certifications, insurance, and the advice they provide to clients.

10. Service Availability

10.1 Uptime Target

We strive to maintain 99.9% uptime for our services, excluding scheduled maintenance. However, we do not guarantee uninterrupted access and are not liable for any downtime or service interruptions.

10.2 Maintenance

We may perform scheduled maintenance with advance notice when possible. Emergency maintenance may be performed without notice when necessary to protect system integrity or security.

10.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the service at any time. We will provide reasonable notice for material changes that negatively affect your use of paid features.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED
  • WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM

Some jurisdictions do not allow limitations on implied warranties or liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Coachalyst LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

  • Your use of the service
  • Your violation of these Terms
  • Your violation of any rights of another person or entity
  • Content you create or share through the platform
  • Professional advice or services you provide to clients

13. Data Protection

We are committed to protecting your privacy and personal data. Our collection, use, and protection of personal information is governed by our Privacy Policy, which forms part of these Terms.

For EU/EEA users, we comply with the General Data Protection Regulation (GDPR). Our Data Processing Agreement (DPA) is available upon request for business customers acting as data controllers.

14. Termination

14.1 Termination by You

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of the paid period.

14.2 Termination by Us

We may suspend or terminate your account immediately if you:

  • Violate these Terms or our policies
  • Engage in fraudulent or illegal activities
  • Fail to pay subscription fees
  • Harm or threaten the security of our systems or other users

14.3 Effect of Termination

Upon termination:

  • Your access to the service will be revoked
  • We may delete your data after a reasonable retention period (typically 30 days)
  • You remain liable for any outstanding payments
  • Sections of these Terms that by nature should survive will remain in effect

You may request a copy of your data before termination using our data export features.

15. Dispute Resolution

15.1 Informal Resolution

If you have a dispute with us, please contact us at support@coachalyst.com first. We will attempt to resolve the issue informally within 30 days.

15.2 Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration rather than in court, except where prohibited by law. Arbitration will be conducted under the rules of a mutually agreed arbitration service.

15.3 Class Action Waiver

You agree to resolve disputes on an individual basis only. You waive any right to participate in class actions or representative proceedings, except where such waiver is prohibited by law.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of Cyprus, without regard to conflict of law principles. Any disputes not subject to arbitration shall be resolved in the courts of Limassol, Cyprus.

For users in the European Union, nothing in these Terms affects your mandatory consumer rights under EU law.

17. International Use

Coachalyst is operated from Cyprus and intended for global use. Users are responsible for compliance with local laws regarding online conduct and acceptable content. Some features may not be available in all countries.

18. Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements you enter into with us, constitute the entire agreement between you and Coachalyst LLC regarding use of the service.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

20. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
