Terms of Service

01Definitions

"Service" means the Coachalyst mobile, desktop, and web products and related APIs. "Account" means your Coachalyst account, used to access the Service. "Subscription" means a paid tier you purchase. "Coach" means a user with a trainer-tier subscription. "Client" means a user assigned to a Coach's roster who receives coaching through the Service. "Content" means anything you upload, enter, or share through the Service.

02Eligibility and account registration

You must be at least 16 years old (or the age of digital consent in your jurisdiction, whichever is higher) to use the Service. If you are under 18, you confirm you have parental or guardian permission.

To use paid features, you must register an Account with accurate information and keep it up to date. You are responsible for the security of your credentials. Notify us immediately at security@coachalyst.com if you suspect unauthorised access. One person may not maintain more than one free Account.

03The Service

Coachalyst provides tools for tracking workouts, nutrition, progress, and coaching relationships. It is an information and organisational tool, not a medical service. We may modify, add, or remove features at our discretion. We will give reasonable notice of material removals that affect paid features.

The Service depends on third-party infrastructure (hosting, payment, app stores). We are not liable for disruptions caused by such third parties beyond our reasonable control.

04Subscriptions and tiers

Coachalyst offers the following paid tiers (full current pricing is published at coachalyst.com/pricing and forms part of these Terms by reference):

• Personal Pro (monthly, annual, or one-time Lifetime).
• Starter Coach (monthly or annual), up to 15 clients.
• Pro Coach (monthly or annual), up to 50 clients.
• Pro Coach Founding: limited to the first 50 subscribers; price locked (see section 6).
• Business / Facility: multi-trainer, unlimited clients.
• Enterprise: custom terms by individual agreement.

Subscriptions renew automatically at the end of each billing period at the then-current price for your tier, unless cancelled before renewal. You can cancel at any time and continue to use paid features until the end of the paid period.

05Billing and payment methods

Web purchases are processed by LemonSqueezy, acting as Merchant of Record. LemonSqueezy collects and remits VAT in your jurisdiction and issues invoices.

Mobile purchases are processed by Apple (App Store) or Google (Google Play) and governed also by their terms.

Prices are shown in EUR including applicable VAT. Card and banking details are handled by our payment providers; we never receive or store full card numbers.

06Founding pricing and CPI-indexed lock

If you subscribe to Pro Coach Founding during the launch window and while seats remain, your monthly price of €39 is locked for the lifetime of your continuous subscription, subject only to annual inflation indexing capped at the last-12-months German Harmonised Index of Consumer Prices (HICP, Eurostat). We may apply, skip, or partially apply any such indexing at our sole discretion, and will always give at least 30 days' written notice before any price change.

The founding lock survives up to 12 months of continuous cancellation. If you resubscribe within that window, the lock is preserved. After 12 months of cancellation, the standard Pro Coach price applies.

The Personal Pro Lifetime tier is a one-time purchase that grants access to Personal Pro features for as long as the Service exists. It is limited to the first 500 subscribers and is non-transferable between accounts.

07Free trial, refunds, and money-back guarantee

Every paid tier carries a 30-day, no-questions-asked money-back guarantee. To request a refund within the first 30 days of your initial subscription, write to support@coachalyst.com or use the "Request refund" flow in Settings. Web refunds are processed by LemonSqueezy; mobile refunds are processed by Apple or Google according to their respective policies.

When you refund, your Account is downgraded to Personal Free and any founding or lifetime benefits are revoked. Seat counters are replenished.

Beyond 30 days, refunds are not guaranteed but may be issued at our discretion for exceptional circumstances.

08Quarterly business review

Pro Coach and Pro Coach Founding subscribers are entitled to one 60-minute roster review per calendar quarter, scheduled at mutual availability. The review covers anonymised retention, churn, and engagement signals from the subscriber's roster and includes practical recommendations.

This is a service offering, not a guarantee of business outcomes. We provide observation and recommendation; the subscriber decides what, if anything, to act on.

09Your content

You retain all rights in Content you upload or enter. By using the Service, you grant us a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, back up, reproduce, modify (e.g. resizing, transcoding, generating thumbnails), transmit, and process your Content for the purposes of operating, providing, and improving the Service.

For Content you keep private (the default for progress photos, training logs, body data, and chat), this licence is limited to internal Service operations: backups, syncing across your devices, and sharing only with a coach you have explicitly added to your account.

For Content you choose to share with the wider Coachalyst community — for example, food photos you contribute to the shared food database so other users can identify and log the same meal, or recipes you publish to the public recipe library — you grant us and the other users of the Service a worldwide, non-exclusive, royalty-free, perpetual, irrevocable licence to display, view, reference, and save that Content within the Service for their personal training and nutrition tracking. We may also use such shared Content, with attribution where reasonable, in product UI, promotional screenshots, and aggregated showcases of the Service. Other users do not receive a right to redistribute your Content outside the Service.

Sharing is a deliberate, opt-in choice: every food photo, recipe, and other community submission carries an explicit sharing control, and the default is private. Once a contribution has been shared to a community surface, however, the licence above is irrevocable for that contribution and the contribution itself remains part of the Service indefinitely. This is necessary so that the community-built food and recipe database stays stable and useful for every user who has come to rely on it; without persistence the database would degrade for everyone whenever a single user changes their mind. If you don't want a piece of Content to live in the community database, do not share it.

When you delete a private piece of Content or your Account, we delete that private Content from production within 30 days as set out in our Account Deletion policy. Content you previously shared to a community surface is treated differently: the contribution itself is retained, but on Account deletion we dissociate it from your name, profile, account identifiers, and any other personal data linked to it (irreversible anonymisation), so the contribution remains usable to the community without remaining linked to you. After anonymisation, the contribution is no longer your personal data within the meaning of Art. 4 (1) GDPR. Copies that another user has explicitly saved into their own logs likewise remain in that user's own history.

You are responsible for the Content you upload and confirm that you have the rights to upload, share, and license it as set out above. You must not share to community surfaces any Content that infringes third-party rights, contains identifiable other people who have not consented to inclusion in a public community database, or otherwise breaches Section 11 (Acceptable use). Because shared contributions are persistent, please share only Content you are certain you have the rights to and intend to leave in the database permanently.

10Coach-Client relationships

If you are a Coach, Coachalyst provides the tools; the coaching relationship is between you and your clients. You are responsible for any promises, pricing, refunds, or professional advice you give to your clients.

If you are a Client, Content you share with your Coach through the Service is visible to them. You can revoke a Coach's access at any time by ending the coaching relationship in Settings.

11Acceptable use

You agree not to:

• Reverse engineer, decompile, or extract source code from the Service beyond what is expressly permitted by law.
• Use the Service to violate any law, third-party rights, or another user's privacy.
• Upload malware, spam, harassment, illegal, or sexually explicit content involving minors.
• Attempt to bypass rate limits, cap counters (founding / lifetime), or security controls.
• Automate account creation or scrape the Service without written permission.
• Resell or repackage the Service without a White Label / Enterprise agreement.

We may suspend or terminate Accounts that violate this section.

12Intellectual property

The Service, including the software, design, logos, and documentation, is owned by Labonde Digital Ventures Ltd and its licensors and is protected by copyright, trademark, and other laws. "Coachalyst" is a registered trademark of Labonde Digital Ventures Ltd. Nothing in these Terms grants you any rights in our intellectual property other than the limited right to use the Service.

13Health and medical disclaimer

Coachalyst is not a medical device and does not provide medical advice, diagnosis, or treatment. Training, nutrition, and recovery guidance delivered through the Service is informational.

Consult a qualified healthcare professional before starting a new exercise or nutrition programme, especially if you are pregnant, have a medical condition, or take medication. In an emergency, call your local emergency number.

You use the Service at your own risk. To the maximum extent permitted by law, we are not liable for injuries or health consequences arising from your use of the Service.

14Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. This does not affect your statutory rights as a consumer.

15Limitation of liability

To the maximum extent permitted by law, our total liability to you for all claims arising out of or relating to the Service in any 12-month period will not exceed the greater of (a) the fees you paid us in that period, or (b) €100.

We are not liable for indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or goodwill) even if we have been advised of the possibility of such damages.

Nothing in these Terms limits liability for death, personal injury caused by our negligence, fraud, or any other liability that cannot be limited or excluded by applicable law.

16Termination

You may stop using the Service and delete your Account at any time.

We may suspend or terminate your Account with reasonable notice if you materially breach these Terms, create risk or legal exposure for us, or if continued provision becomes commercially or legally unviable. We may terminate immediately for serious or repeated violations of section 11.

Provisions that by their nature should survive termination (including sections 9, 12, 13, 15, and 18) survive.

17Governing law and disputes

These Terms are governed by the laws of the Republic of Cyprus, without regard to conflict-of-laws rules. The courts of Cyprus have exclusive jurisdiction, subject to any mandatory consumer-protection rights that give you the right to sue (or be sued) in the jurisdiction of your habitual residence.

If you are a consumer in the EU, the European Commission's online dispute resolution platform is available at https://ec.europa.eu/consumers/odr. We are not obliged nor willing to participate in out-of-court consumer dispute resolution proceedings before a consumer arbitration body.

18Changes, contact, and miscellaneous

We may update these Terms from time to time. Material changes will be communicated by email and in-app notice at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.

If any provision of these Terms is held invalid, the remaining provisions continue in full force. Our failure to enforce a right is not a waiver. You may not assign your rights under these Terms without our consent; we may assign ours in connection with a merger, acquisition, or sale of assets.
